The Statute of the Lithuanian Computer Society (LIKS)


(English translation)

I. GENERAL

    1. Lithuanian Computer Society (the abbreviation, used further in the text, is LIKS) is a voluntary and independently acting social association of computer and software users, specialists and amateurs in informatics and computer science.

    2. LIKS acts according to the Constitution of the Lithuanian Republic, to the Law of social organizations and other laws of the Republic, to the decisions of the Lithuanian Government; LIKS activity is based on this Statute.

    3. LIKS acts in the territory of the Lithuanian Republic; it represents its members in the whole world.

    4. The headquarters of LIKS are in the capital of Lithuania Vilnius, A.GoĆ°tauto 12-211.

    5. LIKS graphical sign is capital letters "LIKS" in the centre of three intersecting rectangles with round corners.

II. LIKS AIMS AND GOALS

    6. Stimulating progress of computerization and development of informatics as a perspective and important modern science and industry branch in Lithuania.

    7. Forming the opinion of the society and the Government on questions of the use and management of the state's information resources and information technologies.

    8. Taking care of the preparation and improvement of the professional skills of specialists and users in computers and informatics; taking care of teaching informatics and computers in the general education schools.

    9. Stimulating and supporting professional contacts and exchange of the urgent problem domain information, developing internal and international contacts and relationships.

    10. Raising professional ethic of LIKS members, helping them in defending their author's rights, representing professional and author's interests of Lithuanian computer specialists both in Lithuania and abroad.

III. FORMS OF ACTIVITY

Lithuanian Computer Society:

    11. Organizes meetings, conferences, discussions, seminars, courses, training, camps and other relevant events or supports their organization.

    12. Proclaims competitions and contests, appoints LIKS premiums, stipends, presents candidates for receiving state and other premiums.

    13. Issues periodical, continued and one-time editions, disseminates new information, informs society about LIKS activity using mass media and other means.

    14. Maintains contacts and cooperates via contracts with different social, state, and private organizations in Lithuania and abroad, which have common aims in their activities.

    15. By its own initiative or on the basis of contracts and orders organizes professional events, executes authorial examinations, develops original projects, software and other authorial products, important to computerization and development of informatics in the state.

    16. According to the law, founds companies, joint-stock and joint ventures, undertakings, enterprises, editorial boards, funds, institutes, schools and other organizations, having rights of a juridical or a physical person.

    17. Serves as a mediator for the members of the society in search for employment in Lithuania and abroad, takes care of their professional interests and helps in defending their rights.

IV. THE MEMBERS. THEIR RIGHTS AND RESPONSIBILITIES

    18. LIKS consists of true members and honour members.

    19. Every citizen of Lithuania, who contributes to computerization and development of informatics in Lithuania and acknowledges the LIKS Statute, may become a true LIKS member.

    20. True members are accepted by the elected ruling persons of LIKS or its sections, or by persons (managers), who are specially appointed for this purpose by the ruling persons. A candidate must apply for the membership by filling in a special form - questionnaire with signed recommendations of at least two LIKS members, who have been members of LIKS for at least two years. A candidate must pay the entrance fee and the membership dues for the current year.

    21. True member has the right:

      a) to elect and to be elected to the LIKS ruling bodies;
      b) to suggest change of the Statute and other proposals;
      c) to recommend persons for LIKS membership;
      d) to take part in LIKS activity;
      e) to receive support from LIKS in his or her professional activity;
      f) to use provided privileges in events organized or supported by LIKS;
      g) to receive a membership certification after providing a suitable photo to the LIKS Board.

    22. True member is obliged to:
      a) keep on to the LIKS Statute and fulfill decisions of the LIKS ruling bodies;
      b) to pay an entrance fee, equal one-tenth of the monthly minimum living-wage effective at the moment of payment, and annual membership dues of the same amount (students pay half of the fee and dues, school children and disabled persons of the I or II group are free from these payments).

    23. True members are struck off the list of members in the following cases:
      a) when they express their wish to leave LIKS in writing;
      b) when they are in debt with their membership dues for more than a year without valid excuse;

    24. A true member can be expelled from LIKS for actions, contradicting professional ethic or incompatible with this Statute. A decision to expel a member is adopted by the LIKS Council. The expelled member has the right to lodge a complaint with the Arbitration Committee and (or) with the LIKS Congress against such a decision. An expelled person can be accepted to LIKS no earlier than two years after the day of the expelling.

    25. Lithuanian and foreign citizens, having special merits for developing or supporting informatics and computerization in Lithuania, may be elected to honour members, if they agree to be elected.

    26. Honour members are elected by the LIKS Congress. A honour member ceases to be it, when presenting LIKS Board an application in writing.

    27. Honour members have the right to take part in LIKS activity and to receive LIKS support in their professional activity.

    28. Only true members have deciding votes in LIKS activity. Honour members have consultative votes.

    29. The list of the LIKS members is maintained by the LIKS Board.

V. STRUCTURAL SUBDIVISIONS

    30. LIKS can form subject (special interest) and (or) territorial groups (sections).

    31. Groups of LIKS are formed by a presentation of an initiative group consisting of at least 9 LIKS members and by the decision of the Council.

    32. A group establishes its internal order and organization itself. It elects its ruling persons, appoints managers (if such are provided), may have the rights of a juridical person. Groups follow the Statute in their activities.

    33. By the decision of the Council, a representative of a group may be co-opted to the Council or Board.

    34. Activity of a group is re-organized or terminated by its own decision, informing the LIKS Council in writing. The Council confirms the decision of a group. A group can be dismissed by decision of the Council, if the group doesn't follow the LIKS Statute in its activities.

VI. THE DIRECTION

    35. LIKS activities are directed by the following ruling bodies in limits of their competence: the Congress, the Council, the Arbitration Committee, the Audit committee, and the Management Board which is the executive body.

    36. The highest ruling body of LIKS is the Conference. The Conference is convoked by the Council at least once in two years. Extraordinary Conference is convoked by a demand of at least half of the members of the Council, or at least quarter of the members of LIKS, or at least half of the groups.

    37. The norm of representation in the Conference is set up by the Council. Members of LIKS ruling bodies are delegates of the Conference; they are not included in the norm of representation, and their number must be less than a quarter of all the delegates. The Conference is legal, if at least half of the delegates take part in it. Decisions are usually adopted by an open voting, by a simple majority (more than 50%) of the participants of the Conference.

    38. The Conference:

      a) discusses and confirms the reports of the Council and the Audit Committee and the most important decisions;
      b) determines the directions of LIKS activity, confirms LIKS plans, its statements of income and expenditures;
      c) determines the numbers of members of the Council, Arbitration and Audit Committees; elects these bodies;
      d) confirms and changes the LIKS Statute;
      e) elects LIKS honour members;
      f) considers and investigates proposals and applications received;
      g) decides question of terminating the LIKS activity.

    39. Between Conferences, LIKS is directed by the Council, in accordance with this Statute and decisions of the Conference.

    40. The Council elects from its members the Chairman of the Council for one term of office.

    41. Meetings of the Council are convoked at least once in three months. Meeting is legal, if more than a half of the Council members take part in it. An extraordinary meeting is convoked by the demand of the Chairman or at least one third of its members.

    42. The Council adopts decisions by a simple majority. In case of an equal number of votes, the opinion of the Chairman decides. In cases of personal questions, voting is by a secret ballot. In other cases, voting method is determined by the Council.

    43. The council executes these functions:

      a) convokes LIKS Conferences, organizes other LIKS events;
      b) Renders accounts to the Conference on its activities;
      c) maintains LIKS property, opens and closes accounts in banks;
      d) coordinates LIKS activities;
      e) establishes LIKS groups;
      f) establishes committees and work groups for exploring and making clear separate problems;
      g) forms the Managing Board and determines its functions, elects the Board Chairman and Vice- Chairman;
      h) appoints LIKS project managers, forms groups for preparation of LIKS editions;
      i) stimulates persons, distinguished in the LIKS activity.

    44. The Chairman of the Council convokes extraordinary Council meetings. The Chairman of the Council or the Chairman of the Board represent LIKS, convoke meetings of the council, sign warrants and other letters and papers; sign cheques and other documents together with the treasurer.

    45. The Audit Committee checks the financial activities of LIKS and reports the audit results to the Conference.

    46. The Arbitration Committee investigates infringements of the LIKS Statute, disagreements and arguments of the LIKS members which are related to LIKS activities and which are beyond of the jurisdiction of the Lithuanian laws in force.

    47. The Managing Board performs executive power functions, which are regulated by the Council.

VII. ELECTION

    48. Every true member may be elected to the ruling bodies. Every true member may propose a candidate.

    49. Election is performed by a secret ballot. Candidates, who received more than the half of the votes and who fit into the vacant positions of the ruling bodies in order of their numbers of votes, are considered elected. If not all the vacant positions are filled after the first ballot, the second ballot is assigned; the candidates with the highest votes, who were not elected, may take part in the second voting, but their number may not exceed more than twice the number of the vacant positions. In the second ballot, those, who received the most of votes (without regard to the 50% limit) are considered elected. In unforeseen arguable cases, the decision is by the Conference.

    50. Election are performed every two years.

    51. A member may be elected only to one of the ruling bodies. As the result of the election, every of ruling bodies must be renewed by at least one third.

    52. The Council has the co-optation right to the Council, Arbitration and Audit Committees. It may be co- opted in place of not active members, or if it is necessary to enlarge the composition of the ruling body. The number of the co-opted members cannot exceed one third of the number of the members, elected by the Conference.

VIII. MEANS

    53. LIKS means consist of:
      a) members entrance and annual fees;
      b) means and other property, received from international social organizations, non-state organizations, funds and physical persons;
      c) income from the economical activity of LIKS founded undertakings, enterprises and companies;
      d) means to implement objective programms received from the state's governing and ruling institutions and institutions of local administration.
      e) interests of credit institutions for deposited LIKS means;
      f) other legally received means.

    54. LIKS means are used for acquiring LIKS property, maintaining its premises and equipment, publishing activities, LIKS conferences and other professional events, financing other LIKS activities, including salaries of the hired personnel; paying budget fees and dues in cases and order, determined by the laws.

IX. THE LEGAL STATE

    55. LIKS is a juridical person, having its stamp, graphical sign - emblem, accounts in banks, in the numbers, permitted by the laws.

    56. LIKS disposes its own means and property.

    57. LIKS has the publishing right.

    58. LIKS isn't responsible by duties of its established undertakings, enterprises and companies, which are juridical persons, and these are not responsible by LIKS duties, on the other side.

    59. LIKS is liquidated by the decision of the Conference. After liquidation, the property and means of LIKS are disposed in the order, established by the Conference, following the laws in force of the Lithuanian Republic.
